Terms of Service

1. Introduction

These Terms of Service govern your access to and use of the Media Moana platform, including all associated tools, APIs, and services.

By creating an account or using the product, you agree to be bound by these Terms and confirm that you have the authority to do so on behalf of your organization.

2. Accounts & Access

You are responsible for safeguarding your credentials and ensuring that only authorized individuals access your workspace.

API keys grant programmatic access to your account and must be treated as secrets. Do not embed API keys in public repositories or client-side code. You are responsible for rotating any key you suspect has been compromised. All operations and charges incurred through your API keys are your responsibility, regardless of whether they were authorized by you.

We may suspend or terminate accounts that violate these Terms or pose a security risk to the platform.

3. Customer Content & Ownership

You retain ownership of all media, metadata, and derivative assets uploaded to Media Moana.

You grant us a limited license to process, store, and analyze Customer Content solely for the purpose of providing the services, including image editing, optimization, and management features.

For uploaded content: You represent and warrant that you own or have the necessary rights to upload, store, edit, and process all images and media you submit to the platform.

For AI-generated content: You own all AI-generated images created through our platform. We assign all rights, title, and interest in such outputs to you, subject to these Terms and applicable law.

You are responsible for ensuring your use of AI-generated content complies with applicable copyright, trademark, and intellectual property laws.

4. AI-Generated Content

AI image generation services are provided through third-party AI models. Similar prompts may produce similar outputs for different users.

We do not guarantee that AI-generated content is unique, original, or free from third-party rights. You are responsible for reviewing and verifying AI outputs before commercial use.

We do not use your uploaded images or AI-generated outputs to train AI models unless you explicitly opt-in to such programs.

AI generation services are subject to rate limits and fair use policies as defined in your subscription plan.

We reserve the right to filter or block prompts that violate our Acceptable Use Policy or generate prohibited content.

5. Image Processing & Editing

Our image editing features allow you to modify, enhance, and transform your uploaded images. All edited versions are treated as derivative works that you own.

Image processing operations (resizing, format conversion, compression, etc.) are performed to optimize storage and delivery. You can access original files at any time.

We implement industry-standard image processing practices but do not guarantee pixel-perfect accuracy for all editing operations.

Metadata (EXIF, IPTC, etc.) from uploaded images may be preserved, modified, or removed based on your settings and processing operations.

6. Acceptable Use

You may not use the services to transmit malicious code, infringe intellectual property rights, or distribute harmful or unlawful material.

Please review our Acceptable Use Policy for detailed guidance on AI-generated content, image rights, and prohibited uses.

7. Service Commitments

We provide commercially reasonable efforts to maintain availability consistent with our Service Level Overview.

Scheduled maintenance will be communicated in advance via the status page or email notifications.

8. Payment & Renewals

Paid subscriptions renew automatically unless canceled in accordance with the terms of your order form or plan.

Late payments may result in suspension of services and accrue interest as permitted by law.

AI generation credits or usage limits are consumed according to your plan. Additional usage may incur overage charges.

Credits consumed by automated rules (Automation Engine), scheduled jobs, or API and CLI calls are subject to the same billing rules as manually triggered operations. You are responsible for configuring your automation rules within your intended usage budget.

9. Confidentiality

Each party agrees to use the other party's confidential information only as necessary to perform its obligations under these Terms.

Confidential information includes product roadmaps, security documentation, and any data marked or otherwise reasonably understood to be confidential.

Your uploaded images and AI prompts are treated as your confidential information and will not be shared with third parties except as necessary to provide the services.

10. Warranties & Disclaimers

Except as expressly stated, the services are provided on an "as is" basis and we disclaim all implied warranties.

We do not guarantee that the services will be uninterrupted or error-free, though we continually invest to prevent disruption.

AI-generated content is provided without warranties of accuracy, uniqueness, or fitness for a particular purpose. You bear all risks associated with using AI-generated images.

11. Limitation of Liability

Our aggregate liability under these Terms will not exceed the amounts paid by you for the services in the twelve months preceding the claim.

Neither party will be liable for consequential, special, indirect, or punitive damages.

We are not liable for any claims arising from your use of AI-generated content, including intellectual property infringement claims by third parties.

12. Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles.

Disputes will be resolved in the courts located in the State of California unless the parties agree to arbitration.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance.

Continued use of the services after the effective date of an update constitutes acceptance of the revised Terms.
